TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRAGMATIC DISRUPTOR LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY.

Liability Cap: Our total cumulative liability for any claim arising out of these Terms shall not exceed the total amount of fees paid by you to the Company during the twelve (12) months immediately preceding the event giving rise to the claim. If no fees were paid, the Company shall have no liability to you.

For purposes of this Section, 'Fees' shall mean the total, non-refundable, net amount actually paid or payable by Client to Company for agreed upon and specific services giving rise to the liability, excluding any taxes, reimbursable expenses, or third-party costs such as but not limited to credit card, debit card, or banking transaction fees.
10. Indemnification
You agree to defend and indemnify Pragmatic Disruptor LLC against any claims, damages, or legal expenses (including attorney fees) arising from your misuse of the Service, your violation of these Terms, or your infringement of any third-party intellectual property rights.
11. Termination
We reserve the right, at our sole discretion, to suspend or terminate your access to the Service at any time and for any reason, including a breach of these Terms, without prior notice or liability.
12. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, United States. Any legal action or proceeding relating to these Terms shall be instituted exclusively in the federal or state courts located in Texas.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Service. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of those changes.
