These Terms and Conditions ("Terms") constitute a legally binding agreement between Pragmatic Disruptor LLC ("Company," "We," "Us," or "Our") and you. By accessing or using our website, mobile applications, browser extensions, and associated software tools (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease use of the Service.

The Service, including all text, templates, and automated outputs, is provided for general informational and educational purposes only.

  • Not a Substitute for Advice: No content provided through the Service constitutes professional management, legal, financial, or technical advice.

4. User Accounts and Security

If the Service requires you to create an account, you are responsible for maintaining the confidentiality of your credentials. You agree to provide accurate and current information and to notify us immediately of any unauthorized access to your account. We reserve the right to terminate accounts that provide false information or violate these security standards.

 

5. Data Integrity and AI Usage

For features of the Service that utilize Artificial Intelligence (AI) or data processing:

  • Input Accuracy: You are solely responsible for the quality, accuracy, and legality of the data you provide to the Service.

  • Output Validation: Automated outputs are generated based on user-provided data. You are responsible for reviewing, validating, and curating all results before implementation. Pragmatic Disruptor LLC is not liable for errors or omissions resulting from inaccurate input data or automated processing.

 

6. Subscriptions and Billing

  • Fees: Certain features of the Service are available only through paid subscriptions. All fees are quoted in USD.

  • Automatic Renewal: Unless otherwise stated, subscriptions renew automatically at the end of each billing cycle. You may cancel your subscription at any time through your account settings to prevent future charges.

  • Refund Policy: Except as required by law, all payments are non-refundable.

 

7. Third-Party Links and Tools

The Service may contain links to third-party websites or integrations with third-party software. Pragmatic Disruptor LLC does not control, endorse, or assume responsibility for the content, privacy policies, or practices of any third-party services.

 

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." PRAGMATIC DISRUPTOR LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

 

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRAGMATIC DISRUPTOR LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY.

  • Liability Cap: Our total cumulative liability for any claim arising out of these Terms shall not exceed the total amount of fees paid by you to the Company during the twelve (12) months immediately preceding the event giving rise to the claim. If no fees were paid, the Company shall have no liability to you.

  • For purposes of this Section, 'Fees' shall mean the total, non-refundable, net amount actually paid or payable by Client to Company for agreed upon and specific services giving rise to the liability, excluding any taxes, reimbursable expenses, or third-party costs such as but not limited to credit card, debit card, or banking transaction fees.

 

10. Indemnification

You agree to defend and indemnify Pragmatic Disruptor LLC against any claims, damages, or legal expenses (including attorney fees) arising from your misuse of the Service, your violation of these Terms, or your infringement of any third-party intellectual property rights.

 

11. Termination

We reserve the right, at our sole discretion, to suspend or terminate your access to the Service at any time and for any reason, including a breach of these Terms, without prior notice or liability.

 

12. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, United States. Any legal action or proceeding relating to these Terms shall be instituted exclusively in the federal or state courts located in Texas.

 

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Service. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of those changes.
